Numinus Wellness Acquires MedBright AI to Enhance Mental Healthcare with AI Technology
Numinus Wellness Inc, a company dedicated to mental health care using psychedelics, has announced its plan to acquire MedBright AI Investments Inc. This strategic move is set to combine the cutting-edge artificial intelligence (AI) capabilities of MedBright with Numinus’ expertise in mental health treatment.
A Strategic Investment
Under this deal, Numinus will issue 1.86 of its common shares for each MedBright AI share. This translates to a total of roughly 204,729,372 shares being issued, giving MedBright’s shareholders about 39% ownership of the merged company, based on current capitalizations. The new entity will be known as Numinus Intelligence, although the ticker symbol (NUMI) on the Toronto Stock Exchange will stay the same.
Merging Expertise for Improved Healthcare
The merger aims to blend MedBright’s AI-enabled clinical solutions with Numinus’ experience in drug-assisted mental health treatment. This integration will enhance clinical operations and expand reimbursable services. Numinus intends to use AI technology to support traditional therapy, clinic management, patient care, insurance reimbursement, and psychedelic-assisted therapy. This new AI-powered solution will be available to a growing number of U.S. mental health care providers.
Financial and Operational Benefits
The transaction strengthens Numinus' balance sheet, adding over $5 million in cash and liquid securities. The operational team is focused on cutting overhead costs and improving revenue, particularly for clinics in Utah. As part of the acquisition, leaders from MedBright with experience in U.S. healthcare clinic operations will join Numinus’ management team and Board.
